Holding & ownership design
Parent, intermediate holdcos, asset-level SPVs. We decide where title sits, where cash sits, and where the tax and reporting consequences land — before money moves, not after.
Victoria, Mahé — Seychelles
Thaleric Limited is an international investment and holding company. We take ownership positions, arrange the entities that hold them, and stay on the register long after the transaction closes.
Every structure we build leaves a chain of title that any counterparty, bank or auditor can read in one sitting — and we are still on it when they do.
Mandate
A holding company earns its keep in two places: the quality of what it owns, and the clarity of how it owns it. Thaleric works on both — we underwrite the asset, then build the structure that will still make sense to a lender five years later.
Parent, intermediate holdcos, asset-level SPVs. We decide where title sits, where cash sits, and where the tax and reporting consequences land — before money moves, not after.
Majority and significant-minority positions in operating businesses and real assets, taken alongside founders, family offices and institutional partners who intend to stay.
Group-level cash management, intercompany funding, currency exposure and the discipline of deciding what gets funded next — with one ledger, not twelve.
Board representation, reporting cadence, covenant tracking and the unglamorous follow-up that separates an investment from a wire transfer.
Incorporation, registered agents, substance, secretarial and consolidated filings across the jurisdictions our structures touch — coordinated from one desk.
Trade sales, sponsor-to-sponsor transfers, partial liquidity for co-investors. We plan the exit route at entry, and we are content to hold when the route is not yet worth taking.
Sectors
We are generalists about geography and specific about sectors. Four carry a standing mandate; two more we will look at opportunistically, when the structure is right.
Data centre capacity, fibre routes, edge and colocation platforms with contracted revenue.
Generation, storage and grid-adjacent services where the offtake is bankable and long.
Warehousing, cold chain, specialist manufacturing — the unremarkable businesses that move things.
Asset-backed lending platforms, leasing books and receivables where the collateral is real.
Established brands with repeat purchase and owned distribution. Rarely, and only with operators.
Land, agriculture and income-producing property held for the term, not for the cycle.
Approach
Nothing here is proprietary. It is written down because most of the value is in doing it in this order, every time — including when the opportunity looks obvious.
Sector fit, ticket size, jurisdiction and counterparty. Most conversations end here, quickly, which is a courtesy to both sides.
We draw the ownership chain before we price the asset. If a structure cannot be explained on one page, it is the wrong structure.
Commercial, financial, legal and tax diligence, run to a fixed timetable, with external advisers wherever independence matters.
Board seats, quarterly reporting, covenant and cash monitoring. This is the step that consumes the calendar and produces the return.
Exit when the route is worth taking, not because a fund clock says so. A holding company has the luxury of waiting.
Governance
An international structure only works if the compliance underneath it is unremarkable. These are the standing commitments across every entity in the group.
Source-of-funds and beneficial-ownership checks on every counterparty, refreshed on a fixed cycle rather than on request.
Quarterly portfolio reporting and annual consolidated accounts, on the same calendar across every entity in the chain.
Directors, decision-making and records held where the entity claims to be. Economic substance requirements are met, not argued with.
External audit at group level and, where size or lender covenants require it, at operating-company level too.
Contact
Enquiries from principals, advisers and co-investors are read by the office in Victoria and answered within one business day. If your note concerns a live transaction, say so in the first line and it moves to the top.
